USER AGREEMENT

This User Agreement ("Agreement") is entered into by and between Appia Yazılım Ltd. Şti. ("APPIA", "we", "us") and the natural or legal person using the APPIA platform ("User", "you"). Accessing the platform, creating an account, or utilizing the services indicates that you have read, understood, and accepted this Agreement in its entirety. This Agreement has been prepared in accordance with Turkish law, the EU GDPR, the Regulation on Distance Contracts, and relevant international legislation.
SECTION 1 — PARTIES AND DEFINITIONS
1.1 Parties

User: The natural or legal person who registers on the APPIA platform, opens an account, or utilizes any service.
1.2 Definitions
- Platform: All APPIA software services, including the appiaglobal.com domain name and mobile applications
- Service: WMS, order management, e-invoice, accounting, fulfillment, shipping, and all other modules offered by APPIA
- Service Provider (module): Free tools and integrations offered to the customer within APPIA
- Subscription: Monthly or annual payment plan according to the package selected by the User
- Content: Any data and material created, uploaded, or shared by the User on the platform
- API: Application programming interface that allows third-party integrations with APPIA
SECTION 2 — ACCOUNT CREATION AND SECURITY
2.1 Registration Requirements
To register on the platform:
- Be over 18 years of age or authorized on behalf of a legal entity
- Provide accurate and current information
- Accept this Agreement and the Privacy Policy
- Have a valid email address in Turkey
2.2 Account Security
The User is fully responsible for the confidentiality of their account password and login information. Any suspicious access must be reported immediately to info@appiaglobal.com. APPIA cannot be held liable for damages resulting from unauthorized access.
2.3 Account Types
- Individual Account: For sole proprietorships and individual sellers
- Business Account: A multi-user business account where team members can be added
- Enterprise Account: Including API access, custom consulting, and priority support
SECTION 3 — SERVICES AND SUBSCRIPTION
3.1 Offered Services
APPIA offers the following core services and modules:
- Warehouse Management (WMS): 3D warehouse modeling, shelf management, stock tracking
- Order & Shipping Management: Trendyol, Hepsiburada, Amazon, N11 and other marketplace integrations
- E-Invoice: Revenue Administration (GİB) integration in Turkey; Peppol/Storecove infrastructure for global operations
- Accounting: Income-expense tracking, profit analysis, store performance reporting
- Fulfillment (FBA): Product storage and shipping services using APPIA warehouse infrastructure
- Customer Map: Geographical distribution analysis based on orders
- Team Management: Role-based multi-user access
- Affiliate Program: Referral-based commission system
- API Access: RESTful API for third-party integration
- Service Providers: Free additional tools offered within APPIA (competitor analysis, AI assistant, etc.)
3.2 Changes to Services
APPIA reserves the right to develop, update, or change its services. In the event of a complete termination of an existing service, users will be notified at least 30 days in advance.
3.3 Subscription and Payment
- Subscription fees are collected in advance on a monthly or annual basis depending on the selected package.
- Payments are processed securely via the infrastructure of banks and payment gateway providers.
- Shipping and fulfillment services are billed based on usage and deducted from the APPIA wallet.
- Price changes will be notified by email at least 30 days prior to their effective date.
- If payment fails, the account may be suspended within 7 days.
3.4 Free Trial
APPIA may offer a limited-time free trial to new users. No automatic charging is done at the end of the trial period; the user must actively select a subscription.
SECTION 4 — USER OBLIGATIONS
4.1 Permitted Use
The User agrees to use the platform only for lawful commercial purposes. The User:
- Is obliged to provide accurate, complete, and current information
- Cannot transfer or share their account with others
- Conducts transactions through the platform only for their own business
- Complies with the terms of use of the respective platforms in marketplace integrations
- Uses the e-invoice and accounting modules only for actual commercial transactions
4.2 Prohibited Activities
The following actions are strictly prohibited:
- Using the platform for illegal, harmful, or deceptive purposes
- Entering false or misleading information (product, invoice, customer data, etc.)
- Sending software, viruses, or malicious code that threatens the security of the platform
- Copying, modifying, or reverse engineering APPIA's software, design, or content
- Using the API in a way that overloads the system or degrades service quality
- Attempting to gain unauthorized access to other users' account information
- Using the platform for money laundering, tax evasion, or fraud
- Publishing or sharing content that will damage APPIA's reputation
4.3 Responsibility for Content
The User is solely responsible for all content (product information, invoices, customer data, etc.) created, uploaded, or shared on the platform. APPIA is not responsible for the accuracy of user content.
SECTION 5 — SPECIAL CONDITIONS FOR FULFILLMENT AND SHIPPING SERVICES
5.1 Fulfillment Service (FBA - Fulfillment By Appia)
- Within the scope of fulfillment service, products are stored in APPIA warehouses.
- Storage up to 1 to 10 m³ is free of charge, and the excess part is charged according to package conditions.
- The User declares and undertakes that the stored products comply with legal regulations.
- Dangerous, illegal, or marketplace-policy-violating products are not accepted.
- In case of damage, loss, or theft, APPIA's maximum liability is limited to the product's invoice value.
- The storage agreement may be terminated by either party with a 30-day prior notice.
5.2 Shipping Service
- Shipping services are provided through FedEx, DHL, and contracted local courier companies.
- Shipping rates vary according to package size, weight, distance, and service type.
- Customs duties, taxes, and official fees belong to the recipient or the user; APPIA is not responsible.
- Cargo insurance is optional; for uninsured shipments, damage liability is subject to the standard conditions of the shipping company.
- Additional costs incurred due to incorrect address declaration will be charged to the User.
SECTION 6 — API TERMS OF USE
6.1 API Access
API access is open only to Enterprise and eligible package subscribers. The API may only be used for APPIA's documented purposes.
6.2 API Usage Rules
- API keys must be kept confidential and must not be shared with third parties.
- Rate limits must not be exceeded; in case of excess, access may be temporarily restricted.
- Automated processes via API must not generate load that harms APPIA systems.
- Data obtained via API can only be used for own business purposes; it cannot be commercially sold to third parties.
SECTION 7 — AFFILIATE PROGRAM
7.1 Program Scope
APPIA's affiliate program provides commission payments to individuals or organizations that refer new users to the platform.
7.2 Commission Terms
- Commission rates are determined and announced in advance by APPIA.
- The commission is paid after the referred user upgrades to an active subscription.
- Misleading, spam, or unethical promotional methods will lead to the closure of the affiliate account.
- APPIA reserves the right to change the program conditions with prior notice.
- Unpaid commissions are transferred to the account by the end of the month following the date they were earned.
SECTION 8 — INTELLECTUAL PROPERTY RIGHTS
8.1 APPIA's Rights
The platform, software, design, logo, content, API, and all related materials are the exclusive property of APPIA and are protected under the Turkish Law on Intellectual and Artistic Works and international intellectual property legislation.
8.2 License Granted to the User
APPIA grants the User a non-transferable, non-exclusive, and personal commercial use limited license only under this Agreement. This license:
- Does not include copying, reproducing, or creating derivative works of the platform
- Does not include sublicensing or transferring
- Does not include usage for competitive purposes
8.3 User Content
The User reserves the intellectual property rights of the content (product data, reports, invoices) created on the platform. The User grants APPIA a limited license to use, process, and store this content for the purpose of service delivery.
SECTION 9 — PRIVACY AND DATA PROTECTION
The processing of personal data is carried out within the scope of our Privacy Policy, KVKK Clarification Text, and GDPR Compliance Policy. These documents are published on appiaglobal.com and form an integral part of this Agreement.
The User accepts that transactional data on the platform can be analyzed anonymously and in aggregate for the purpose of improving service quality.
SECTION 10 — LIMITATIONS OF LIABILITY
10.1 Service Warranty
APPIA does not guarantee that the platform will operate uninterrupted or error-free. The service is provided "as is" and "as available". Although APPIA aims for a 99.5% uptime target, this target is presented as a best-effort statement, not a commitment.
10.2 Maximum Liability
APPIA's maximum liability arising from any event is limited to the monthly subscription fee paid by the User during the period when the event occurred. APPIA cannot be held liable for loss of income, loss of profit, loss of data, or indirect damages.
10.3 Third-Party Services
APPIA assumes no responsibility for third-party services it integrates (Trendyol, Hepsiburada, Amazon, shipping companies, payment processors, etc.). The conditions of these services are subject to the respective terms of service of those companies.
SECTION 11 — ACCOUNT SUSPENSION AND TERMINATION
11.1 Termination by the User
The User can close their account at any time within the platform or by notifying info@appiaglobal.com. Account closure does not affect the current subscription period; no refund is made for the remaining time.
11.2 Suspension by APPIA
APPIA may suspend or terminate the account without notice or with notice under the following circumstances:
- Violation of this Agreement
- Failure to fulfill payment obligations
- Activities threatening platform security
- Use of false information or identity
- Request of legal authorities or court order
- Conduct that seriously damages APPIA's reputation
11.3 Post-Termination Data
After the account is closed, user data is kept in backups for 90 days, then permanently deleted. Data required by legal obligations (e-invoice, accounting records) is kept for the period stipulated in the relevant legislation.
SECTION 12 — GOVERNING LAW AND DISPUTE RESOLUTION
12.1 Governing Law
This Agreement is subject to the laws of the Republic of Turkey. For EU users with consumer status, Turkish law is taken as the basis, provided that GDPR and consumer protection legislation are reserved.
12.2 Dispute Resolution
- First phase: The parties try a friendly solution path within 30 days.
- Consumer disputes: Bursa Consumer Arbitration Committee or Consumer Courts
- Commercial disputes: Bursa Courts and Execution Offices
- EU users: May apply to the Alternative Dispute Resolution (ADR) platform.
SECTION 13 — GENERAL PROVISIONS
13.1 Changes to Agreement
APPIA reserves the right to update this Agreement with prior notice. Important changes will be announced via email and platform notification at least 15 days in advance. Continued use of the platform after the change indicates acceptance of the new terms.
13.2 Severability
If any provision of this Agreement is held to be invalid, it does not affect the validity of other provisions.
13.3 Waiver
APPIA's failure to exercise any right shall not be construed as a waiver of that right.
13.4 Force Majeure
APPIA cannot be held responsible for service disruptions caused by force majeure, such as natural disasters, war, pandemic, cyberattack, or legal changes.
13.5 Entire Agreement
This Agreement, together with the Privacy Policy, KVKK Clarification Text, GDPR Compliance Policy, and Distance Sales Agreement, constitutes the entire agreement between the parties and supersedes all prior agreements.
